Terms of Service

These Terms govern your use of the Stratum Scale LLC website, public forms, demos, and related business communications. A signed Master Services Agreement, Statement of Work, or other written service agreement controls any paid client work.

1. Agreement and Scope

By using stratumscale.com, submitting a form, requesting a demo, or communicating with us through the website, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the site.

These Terms apply only to the public website, public demos, and pre-contract communications unless a separate signed agreement expressly incorporates them.

Who you are contracting with. Stratum Scale LLC is a Minnesota limited liability company. It is the successor to the unincorporated business previously operating under the Stratum Scale name and has assumed the rights and obligations of that business.

2. Business Use and Authority

The site is intended for business and professional use. You represent that you are at least 18 years old and have authority to submit information, request follow-up, and discuss workflows for yourself or the organization you identify.

Do not submit information for another business, employee, customer, or prospect unless you have the legal right and business authority to do so.

3. Website Information Is Not a Guarantee

Website content, examples, demos, checklists, workflow descriptions, and estimates are provided for general business-information purposes. They are not legal, tax, accounting, employment, security, medical, emergency, or financial advice.

We do not promise guaranteed revenue, booked jobs, lead volume, response rates, savings, rankings, compliance outcomes, or uninterrupted service. Results depend on your market, operations, data quality, staffing, response discipline, vendors, and other factors outside our control.

4. Demos, AI Tools, and Receptionist Examples

Demos may use fictional brands, synthetic data, prototype workflows, recorded walkthroughs, AI-generated drafts, or simulated phone and receptionist interactions. Demo materials are examples only and are not evidence of real client results unless clearly labeled as verified.

  • AI-generated or automated outputs can be incomplete, delayed, inaccurate, or unsuitable for your specific business.
  • Automatic acknowledgments do not mean that a human has reviewed a lead.
  • AI receptionist or call-flow demos must not be used for emergencies, regulated advice, medical triage, legal conclusions, payment-card intake, identity verification, or other high-risk uses unless a separate written agreement and appropriate controls are in place.
  • If you provide recordings, call examples, transcripts, customer messages, or demo media, you are responsible for having all rights, notices, permissions, and consents required by applicable law, including any consent required before recording a call.

5. Forms and Public Submissions

You agree to provide truthful, current, and complete information. Public website forms are for business-contact and workflow context only. Do not send passwords, credentials, Social Security numbers, government IDs, banking details, payment-card data, health information, private customer records, confidential trade secrets, or other sensitive regulated data through public forms.

Submitting a form does not create a client relationship, fiduciary relationship, partnership, employment relationship, agency relationship, or obligation to provide services. We may decline, ignore, delete, or block submissions at our discretion.

6. Communications Consent

By submitting a request, you authorize Stratum Scale LLC to contact you about the inquiry by email, phone, text, meeting link, or similar business channel. You can opt out of non-essential marketing communications, but we may still send transactional, security, legal, billing, or service-related messages where appropriate.

7. Paid Services

No paid subscription, automatic renewal, or continuous service is purchased through this public website as of the Last Updated date. Any paid scope, deliverables, pricing, renewal, cancellation, support, data-processing, or implementation terms are set out in a separate written agreement, ordinarily our Master Services Agreement together with a signed Statement of Work.

Where a written agreement includes an automatic renewal, continuous service, free trial, recurring charge, or subscription arrangement, that agreement will disclose the renewal, cancellation, charge, and notice terms required by applicable law, including Minnesota automatic-renewal requirements when they apply.

Order of precedence. If these Terms conflict with a signed Master Services Agreement or Statement of Work, the signed agreement controls as to the paid scope it covers.

8. Acceptable Use

You may not use the site, forms, demos, or communications channels to:

  • Violate any applicable law, regulation, contract, intellectual-property right, privacy right, publicity right, or third-party right.
  • Send unlawful, deceptive, fraudulent, harassing, abusive, defamatory, obscene, or discriminatory material.
  • Upload malware, exploit vulnerabilities, bypass rate limits, interfere with security, scrape protected resources, or attempt unauthorized access.
  • Misrepresent identity, authority, affiliation, endorsement, or business information.
  • Submit regulated or sensitive data through public channels against these Terms or our instructions.
  • Use automated systems to extract site content for the purpose of training machine learning models or building a competing service.

9. Intellectual Property

The website, the Stratum Scale name, logo, branding, copy, structure, demos, designs, and original materials are owned by Stratum Scale LLC or its licensors and are protected by law. You may view the site for ordinary business evaluation, but you may not copy, resell, frame, scrape, modify, or create derivative works from our materials without written permission.

You retain rights in information you submit, but you grant us a non-exclusive, worldwide, royalty-free license to use, process, reproduce, transmit, display, and create internal derivatives from that information as reasonably necessary to respond to your request, operate the website, provide demos, protect systems, and administer business records.

Ownership of paid work is governed by the signed Master Services Agreement, not by this section. Nothing here transfers ownership of deliverables created under a paid engagement.

10. Third-Party Services

The website and related workflows may rely on third-party hosting, email, database, CRM, communications, analytics, security, automation, AI, and payment or invoicing providers. We are not responsible for third-party services we do not control, and their terms and privacy practices may apply to your use of them.

11. Privacy

The Privacy Policy explains how we collect, use, share, and respond to requests about personal information. By using the site or submitting information, you acknowledge the Privacy Policy.

12. Disclaimers

To the maximum extent permitted by law, the site, forms, demos, examples, and pre-contract communications are provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and uninterrupted operation.

We do not warrant that the site will be error-free, secure, timely, compatible with your systems, or free from harmful components.

13. Limitation of Liability

To the maximum extent permitted by law, Stratum Scale LLC and its members, employees, contractors, suppliers, and agents will not be liable for indirect, incidental, special, consequential, exemplary, enhanced, or punitive damages, including lost profits, lost revenue, lost opportunities, lost goodwill, lost data, business interruption, substitute services, or security-related losses arising from or related to the site, demos, forms, or these Terms.

To the maximum extent permitted by law, total aggregate liability for claims arising from or related to the public website, public demos, public forms, or these Terms will not exceed the greater of USD $100 or the amount you paid directly to Stratum Scale LLC for the specific public-site-related service giving rise to the claim in the three months before the event. If a separate signed agreement sets a different liability cap for paid services, that agreement controls for that paid scope.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

14. Indemnification

You agree to defend, indemnify, and hold harmless Stratum Scale LLC and its members, employees, contractors, suppliers, and agents from and against claims, damages, losses, liabilities, judgments, penalties, settlements, costs, and expenses, including reasonable attorneys’ fees, arising from your submissions, your misuse of the site, your violation of these Terms, your violation of law, or your infringement or misuse of third-party rights.

15. Suspension, Refusal, and Availability

We may suspend, block, remove, or refuse access to the site, forms, demos, communications, or requests when we believe it is necessary to protect security, prevent abuse, comply with law, preserve evidence, enforce these Terms, or manage business operations. We may change or discontinue any public website feature at any time.

16. Governing Law and Venue

These Terms are governed by Minnesota law, excluding conflict-of-law rules. Unless non-waivable law requires otherwise, disputes arising from or related to these Terms, the site, forms, or public demos will be brought exclusively in the state or federal courts located in Washington County, Minnesota, and each party consents to personal jurisdiction and venue there.

Before filing suit, the parties will attempt in good faith to resolve any dispute through direct discussion for thirty (30) days.

17. Changes, Severability, and Survival

We may update these Terms from time to time. Changes become effective when posted with a revised Last Updated date unless a later effective date is stated. Your continued use of the site after changes are posted means you accept the updated Terms.

If any part of these Terms is held invalid or unenforceable, the remaining parts remain in effect. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, indemnification, governing law, and dispute provisions.
