1. Agreement and Scope
These Terms of Service ("Terms") govern use of stratumscale.com, related pages/forms, and communications from Stratum Scale ("Stratum Scale", "we", "our", or "us"). By using the site or submitting a request, you agree to these Terms and our Privacy Policy.
2. Business Use and Eligibility
Services are intended for business/professional use. You represent that you are at least 18 years old and authorized to submit information for yourself or your organization.
3. Service Model
Stratum Scale is an independent Minnesota operator providing automation consulting and implementation support. Public website content is informational and may change without notice.
Any paid scope, timeline, deliverables, fees, and support terms are controlled by a separate written proposal, statement of work, or service agreement.
4. Lead Forms, Saved Records, and Communications
If you submit a lead form, your submission is saved and used for sales and operational follow-up. Records may be stored in website systems, CRM/workflow tools, and business communications channels as described in our Privacy Policy.
You consent to receiving service-related emails and calls about your request. You may opt out of non-essential marketing communications at any time.
5. Your Responsibilities
- Provide truthful, current, and complete information.
- Submit only data you are authorized to share.
- Do not submit regulated sensitive data through public forms unless explicitly requested through a secure channel.
- Use the site in compliance with all applicable laws.
6. Acceptable Use Restrictions
You may not:
- Use the site for unlawful, deceptive, abusive, or fraudulent activity.
- Attempt to interfere with service integrity, security controls, or availability.
- Upload malicious code, scrape protected resources, or attempt unauthorized access.
- Misrepresent affiliation, endorsement, or identity.
7. Intellectual Property
The Stratum Scale website, branding, and original content are owned by Stratum Scale or its licensors and are protected by applicable law. No rights are granted except as expressly stated. Third-party names and marks remain the property of their respective owners.
8. Confidentiality and Public Inputs
Do not send confidential or legally privileged information through public website forms unless you have a separate written agreement with us covering secure handling obligations. We will use reasonable care with information received but cannot treat unsolicited submissions as attorney-client or privileged communications.
9. No Professional Advice
Site content and automation outputs are not legal, tax, accounting, investment, or medical advice. You are responsible for independent review and final decisions.
10. Warranty Disclaimer
To the maximum extent permitted by law, the site and related services are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
11. Limitation of Liability
To the fullest extent permitted by law, Stratum Scale is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data.
Stratum Scale's aggregate liability arising out of or relating to these Terms or the site will not exceed the greater of (a) fees paid by you to Stratum Scale for the specific service in the three months before the claim, or (b) USD $100. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
12. Indemnification
You agree to defend, indemnify, and hold harmless Stratum Scale from claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your unlawful use of the site, your submissions, or your violation of these Terms.
13. Suspension and Termination
We may limit, suspend, or terminate access if needed to protect security, investigate abuse, comply with law, or enforce these Terms. Sections that should reasonably survive termination remain in effect.
14. Minnesota Governing Law and Venue
These Terms are governed by Minnesota law, excluding conflict-of-law rules. Unless non-waivable law requires otherwise, disputes will be brought exclusively in state or federal courts located in Minnesota, and each party consents to personal jurisdiction in those courts.
15. Minnesota Privacy Enforcement Notice
Under Minnesota's consumer privacy statute (Minn. Stat. ยง 325M.20), enforcement authority is with the Minnesota Attorney General and the statute does not create a private right of action. This notice does not limit any other rights you may have under separate applicable law.
16. Updates and Contact
We may revise these Terms periodically. Changes are effective when posted with a revised "Last Updated" date. Your continued use after that date means you accept the updated Terms.
